ARTICLE I –NAME

The name of this non-profit organization shall be FRIENDS OF EAST COUNTY ARTS, INC., hereinafter referred to as the "Friends."

ARTICLE II –PURPOSE

The purpose of this organization shall be to provide funds for the growth and development of audiences for the live performing arts; to present world class artists, and to support the fine arts and artists in the Greater East San Diego County area.

ARTICLE III –CORPORATE POWERS, STATUS, AND DISSOLUTION

To the extent provided in the Articles of Incorporation and these Bylaws, the powers of the Friends shall be vested in a Board of Directors composed of not less than six (6), nor more than thirty (30) members, including officers, with the exact number of directors to be fixed, within the limits heretofore specified, by the membership from time to time, by amending the Articles of Incorporation or these Bylaws. This corporation is one which does not contemplate pecuniary gain or profit to members thereof, and it is organized solely for nonprofit purposes. No part of the net earnings, properties or assets of this orporation on dissolution or otherwise shall inure to the benefit of any private person or individual or any member or director of this corporation, and on liquidation or dissolution, all debts and obligations shall be distributed gratuitously, to a corporation organized and operated exclusive for charitable purposes and which has established its tax-exempt status under Section 501 c (3) of the Internal Revenue Code of the United States of America.
