
ARTICLE VIII –ELECTED OFFICERS and DUTIES
SECTION 1 –OFFICERS:
The elected officers, known as the Executive Board, shall be the President, First Vice President/President Elect, Second Vice President, Third Vice President, Fourth Vice President, Recording Secretary, Corresponding Secretary and Treasurer. Although not elected, the Immediate Past President is considered a member of the Executive Board. No officer shall be eligible to serve in the same position after four (4) consecutive terms.
SECTION 2 –PRESIDENT:
The President
- Shall, if present, preside at all meetings of the Executive Board, Board of Directors, and membership
- Shall sign, with the Recording Secretary, or Treasurer, all contracts and other instruments
- Shall be official representative of the Friends
- Shall exercise and perform such other powers and duties as may be from time to time assigned by the Board
- Shall appoint additional committee chairpersons as needed
SECTION 3 - FIRST VICE PRESIDENT/PRESIDENT ELECT:In the absence or disability of the President, the First Vice President
- Shall perform all duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President
- Shall act as the coordinator of all standing committees
- Shall be the Friends liaison to the community
- Shall have such other powers and perform such other duties as from time to time may be prescribed by the board
SECTION 4 –SECOND VICE PRESIDENT:
The Second Vice President
- Shall be responsible for the major fund raising event of the year and the committee thereof.
- Shall be responsible for presenting the proposed fund raising budget to the board.
- Shall, in the absence or disability of the president, and the first Vice President/President Elect, perform all duties of the president, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President.
SECTION 5 –THIRD VICE PRESIDENT:
The Third Vice President
- Shall be the Chair of the Philanthropy Committee
- Shall investigate philanthropic activities and organizations for the purpose of identifying them as Grant recipients
- Shall also provide the research and development for funding of scholarship requests
- Shall present the annual list of proposed grants to the Board for recommendation and approval by the general membership. This proposed list must be published in the newsletter prior to the annual meeting.
The Philanthropy Committee shall be composed of the following: Immediate Past Philanthropic Chair, Treasurer, President, First Vice President/President Elect, three members-at-large and two Sustaining members and Fundraiser Chair.
SECTION 6 –FOURTH VICE PRESIDENT
The Fourth Vice President:
- Shall be responsible for all programs and meetings for the general membership.
- Shall be Chair of the Program Committee and will delegate committees to carry out program functions. Special events are excluded.
SECTION 7 - RECORDING SECRETARY:
The Recording Secretary:
- • Shall keep accurate typewritten records of all meetings of the Board of Directors and all membership meetings and records.
- • Shall also:a) Sign, in conjunction with the president, all papers of the corporation. b) Have such other powers and perform such other duties as may be prescribed by the Board. c) Send copies of Board Meeting and General meeting minutes to all Board members.
- • In the absence of the Secretary, the President shall appoint one of the members to act as Secretary for the current meeting or function only.
SECTION 8 –CORRESPONDING SECRETARY
The Corresponding Secretary:
- Shall conduct all correspondence and keep an accurate file of all correspondence of importance in the corporation' permanent file
- Shall be the editor of the newsletter and send meeting and program announcements
- Shall publish and distribute in the newsletter all Board recommendations.
SECTION 9 –TREASURER:
The Treasurer, as the chief financial officer of the corporation,
- Shall keep and maintain, or cause to be kept and maintained, adequate and correct accounts of properties and business transactions of the corporation.
- Deposit all funds in a bank or banks designated by the Board.
- Shall disburse funds only as prescribed by the Directors, by bank draft bearing the signatures of either the President, First Vice President, the Recording Secretary, in addition to that of or the Treasurer.
- Prepare and present written financial reports to each meeting of the Board and of the Membership.
- Serve as chair of the Budget Committee
- Have the accounts ready for an annual audit by the appointed Auditor whenever called upon to do so and submit such accounting when requested by the Board.
- Have such other powers and perform such other duties as may be prescribed by the Board.
- Send in all appropriate forms.
